These Terms of Service (“Terms”) govern your use of the PersonalizerAI application (“Service”) provided by PersonalizerAI (“we,” “us,” “our”). By installing or using PersonalizerAI, you (“Merchant,” “you”) agree to these Terms. Enterprise merchants may be subject to separately negotiated service levels, security commitments, or pricing terms as agreed in writing.

1. Service Description

PersonalizerAI is an AI-powered product discovery suite for Shopify stores. The Service includes:

AI-powered product recommendations across multiple placement types (homepage, product pages, cart, collections, and more)
AI-powered semantic search functionality
Revenue attribution dashboard
Ongoing AI model optimization based on your store's data

We reserve the right to modify, enhance, or discontinue features of the Service with reasonable notice.

2. Account and Installation

2.1 Eligibility

PersonalizerAI is available to Shopify store owners with an active Shopify plan. By installing the app, you represent that you have the authority to bind your business to these Terms. The Data Processing Agreement (DPA) is incorporated by reference and forms part of these Terms.

2.2 Installation and Access

PersonalizerAI is installed through the Shopify App Store. Installation grants us API access to your store data as described in our Privacy Policy. You can revoke access by uninstalling the app at any time from your Shopify admin.

2.3 Merchant Responsibilities

You are responsible for:

Maintaining the accuracy of your product catalog data
Ensuring your use of the Service complies with applicable laws and Shopify's terms
Providing notice to your customers regarding data collection on your store
Any content or products displayed through PersonalizerAI's recommendations

3. Free Trial

PersonalizerAI offers a 14-day free trial. During the trial period:

Full access to all features (recommendations and AI search)
No charges, including no commission on influenced revenue
Trial begins on the date of installation
At the end of the trial, you will be automatically transitioned to the paid plan unless you uninstall the app

4. Pricing and Payment

4.1 Pricing Structure

PersonalizerAI uses a performance-based pricing model:

Base fee: $29.99 per month
Commission: A percentage of additional revenue attributed to PersonalizerAI, calculated using tiered rates

4.2 Attribution Methodology

Revenue is attributed to PersonalizerAI using click-only attribution:

A sale is attributed to PersonalizerAI when a customer clicks on a PersonalizerAI recommendation or search result and subsequently completes a purchase from that add to cart event
View-only interactions (impressions without clicks) are not attributed
Attribution data is available in the PersonalizerAI dashboard and is independently verifiable from your order data

4.3 Billing

All charges are processed through Shopify's billing system. You authorize Shopify to charge your payment method on file for all fees owed to PersonalizerAI. Billing occurs on a monthly cycle.

4.4 Disputes

If you dispute any charge, contact us at support@personalizerai.com within 30 days of the charge.

5. Service Performance

5.1 No Guaranteed Results

While our merchants have achieved significant results, past performance does not guarantee future results. Revenue impact varies based on catalog size, traffic volume, product category, and other factors outside our control.

5.2 Service Availability

We aim to maintain high availability of the Service but do not guarantee uninterrupted operation. We do not provide a service level agreement (SLA) unless separately agreed in writing. PersonalizerAI widgets load asynchronously and are designed so that any temporary service interruption does not affect your store's performance.

5.3 AI Model Performance

Our AI models improve over time as they learn from your store's data. Initial recommendations are generated immediately upon installation, with model accuracy improving over the first 2-4 weeks.

6. Intellectual Property

6.1 Our IP

PersonalizerAI, including our proprietary recommendation and search models, algorithms, software, widget designs, and documentation, is and remains our intellectual property. These Terms do not transfer any ownership rights to you.

6.2 Your Data

You retain all rights to your store data, product catalog, and customer data. You grant us a limited, non-exclusive license to use this data solely for the purpose of providing and improving the Service as described in our Privacy Policy and DPA.

6.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, we may use this feedback without obligation to you.

7. Termination

7.1 By Merchant

You may terminate these Terms at any time by uninstalling PersonalizerAI from your Shopify admin. Upon uninstallation:

Access to the Service ceases immediately
Any outstanding commission charges for the current billing period remain due
Your data will be retained for 90 days to allow for reactivation, then deleted per our Privacy Policy

7.2 By PersonalizerAI

We may suspend or terminate your access to the Service if:

You violate these Terms
Your Shopify store is suspended or terminated
You fail to pay outstanding fees
Continued service would violate applicable law

7.3 Effect of Termination

Upon termination, Sections 6 (Intellectual Property), 8 (Limitation of Liability), 9 (Indemnification), and 11 (Governing Law) survive.

8. Limitation of Liability

To the maximum extent permitted by law:

PersonalizerAI is provided “as is” and “as available.” We disclaim all warranties, express or implied.
We are not liable for any indirect, incidental, special, consequential, or punitive damages.
Our total liability for any claim arising from or related to the Service is limited to the total fees paid by you to PersonalizerAI in the twelve months preceding the claim.
We are not liable for any actions taken by End Customers, third-party services, Shopify, or AI providers.

9. Indemnification

You agree to indemnify, defend, and hold harmless PersonalizerAI from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or any dispute between you and your customers.

10. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 30 days before the changes take effect.

11. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of India. Any dispute shall be resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.

12. Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy and Data Processing Agreement (DPA), constitute the entire agreement.
Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
Independent Contractors: The parties are independent contractors.
Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
Assignment: You may not assign these Terms without our written consent.
Force Majeure: Neither party is liable for delays or failures caused by circumstances beyond reasonable control.
